Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("Client", "you") and SwahiliBridge, operated by Mathayo Kapela ("SwahiliBridge", "we", "us"). By placing an order, signing a quote, or using our website or client portal you confirm that you have read, understood, and accept these Terms.

2. Services

SwahiliBridge provides professional Swahili language services including translation, voice-over and dubbing, subtitling and captioning, content writing, social media management, marketing translation and transcreation, app and website localization, and Tanzania-focused market, business, and academic research. The exact scope, deliverables, fees, and timeline of each engagement are recorded in the corresponding quote or order confirmation.

3. Pricing & payment

Prices are published on our pricing page and confirmed in each written quote. Payments are processed securely by Stripe and are due in full before work begins, unless a different payment schedule is agreed in writing. Invoices are issued for every paid order and are available in your client portal. All prices are exclusive of applicable taxes, which will be added where required.

4. Revisions & satisfaction

Each project includes two complimentary rounds of revision when requested within fourteen (14) days of delivery and limited to the originally agreed scope. Additional revisions are billed at our then-current hourly rate. Substantive scope changes require a written change order.

5. Turnaround & deadlines

We commit to the turnaround dates stated in your order confirmation. We will notify you promptly of any anticipated delay and propose a revised schedule. We are not liable for delays caused by missing source materials, late client feedback, or events beyond our reasonable control (see "Force majeure" below).

6. Intellectual property

On full payment, all intellectual-property rights in the final deliverables (excluding any pre-existing materials, third-party assets, or our proprietary glossaries and translation memories) are assigned to you. Until payment has been received in full, all rights are retained by SwahiliBridge.

You warrant that you own or are licensed to use any source content you provide and that supplying it to us does not infringe any third party's rights. We may use anonymized excerpts of completed work for our own portfolio, case-study, and marketing purposes only where you have given prior written consent.

7. Confidentiality & NDA

We treat all client materials as strictly confidential and will not disclose them to anyone outside the engagement without your prior written consent. A formal mutual non-disclosure agreement is available on request and is signed by default for all certified, legal, medical, and financial projects.

8. Cancellations & refunds

You may cancel an order before work begins for a full refund. Once work has commenced, refunds are pro-rated based on work completed at the time of cancellation. Refunds are processed to the original payment method within ten (10) business days.

9. Warranty & liability

We warrant that our services will be performed with reasonable skill and care by a qualified native linguist. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any order is limited to the fees paid by you for that specific order. We are not liable for any indirect, consequential, special, or punitive damages, loss of profits, loss of business, or loss of data.

10. Force majeure

Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, civil unrest, government action, internet or telecommunications outages, and pandemics. The affected party will notify the other promptly and resume performance as soon as reasonably possible.

11. Governing law & disputes

These Terms are governed by the laws of the United Republic of Tanzania. The parties will attempt in good faith to resolve any dispute by negotiation. If unresolved within thirty (30) days, the dispute will be referred to mediation, and failing settlement, to the courts of Dar es Salaam.

12. Changes

We may amend these Terms from time to time. Material changes will be announced on this page and will not apply retroactively to orders already in progress.
